Approved Fleet Terms of Service
Effective Date: September 26, 2025

Welcome to Approved Fleet, a proprietary fleet payment program offered by iVertical Payment Network (iVPN). These Terms of Service (“Terms”) govern your use of the Approved Fleet program (“Service”). By enrolling in, accessing, or using the Service, you (“User”) agree to these Terms. Please read them carefully.

1. Definitions +
  • 1.1 "Approved Fleet Program" refers to the merchant-branded private label fleet program utilizing ACH and Real-Time Payment technologies.
  • 1.2 "Good Funds Model" refers to the mechanism ensuring transactions are authorized only when sufficient funds are verified in the User's linked account.
  • 1.3 "iVPN" means iVertical Payment Network, the operator of the Approved Fleet program.
  • 1.4 "User" refers to any entity enrolled in or using the Service.
  • 1.5 "Participating Merchants" refers to fuel retailers and service providers accepting the Approved Fleet program.
2. Eligibility +
  • 2.1 Business Use Only: The Service is exclusively available to businesses operating light-duty fleet vehicles. Personal use is prohibited.
  • 2.2 Account Setup: Users must:
    • Provide accurate and complete enrollment information.
    • Link an eligible U.S.-based bank account to the program.
    • Agree to periodic verification of account balances.
  • 2.3 SMS Program Terms (Transactional Only): Approved Fleet – Merchant Branded Fleet Debit Card ("Approved Fleet") provides transactional SMS to enrolled business customers. Messages may include purchase receipts, fuel purchase confirmations, account/security alerts, and support notifications related to the program. No marketing or promotional texts are sent.
    • Opt-in: You enroll by providing your mobile number and agreeing on the enrollment form; we may confirm via a verification code/YES reply (double opt-in).
    • Frequency: Event-based only (sent when a relevant transaction or account event occurs).
    • Opt-out / Help: Reply STOP to cancel, or by updating notifications in the Fleet Portal. START/UNSTOP to re-subscribe, or HELP for assistance. Msg&Data rates may apply.
    • Coverage: U.S. toll-free messaging only. Delivery may vary by carrier. Carriers are not liable for delayed or undelivered messages.

    We may update these SMS terms; continued use after changes constitutes acceptance.

  • 2.4 Compliance: Users must comply with all applicable laws and regulations related to fleet operations and payment processing.
3. Program Features +
  • 3.1 Transaction Authorization: Transactions are authorized in real time, contingent upon balance verification under the Good Funds Model.
  • 3.2 Daily Settlement: Fleet purchases are settled via ACH with funds replenished daily, ensuring zero risk exposure for Participating Merchants.
  • 3.3 Acceptance: The Service is guaranteed to be accepted at Participating Merchants for fleet-related purchases.
4. User Responsibilities +
  • 4.1 Account Maintenance: Users must ensure their linked account maintains sufficient funds to cover authorized transactions.
  • 4.2 Fleet Data Accuracy: Users are responsible for providing accurate information regarding fleet vehicles and usage.
  • 4.3 Fraud Prevention: Users must promptly report any unauthorized transactions or suspected fraud.
5. Fees and Charges +
  • 5.1 Returned Transactions: Fees for insufficient funds or returned ACH transactions will be applied as specified in the User's agreement.
  • 5.2 Merchant Discounts: Participating Merchants may offer discounts or incentives at their discretion.
6. Termination and Suspension +
  • 6.1 User Termination: Users may terminate their participation in the Service by providing written notice to iVPN.
  • 6.2 iVPN Termination: iVPN may suspend or terminate User accounts for:
    • Violation of these Terms.
    • Insufficient funds or excessive returned transactions.
    • Fraudulent activity.
  • 6.3 Effect of Termination: Upon termination, the User's access to the Service will cease, and any outstanding amounts owed must be paid immediately.
7. Disclaimers and Limitations of Liability +
  • 7.1 No Warranty: The Service is provided "AS IS" without warranties of any kind, express or implied.
  • 7.2 Liability Cap: iVPN's liability to Users is limited to the total fees paid by the User in the six months preceding the claim.
  • 7.3 Force Majeure: iVPN is not liable for delays or failures resulting from circumstances beyond its control, including acts of God, labor disputes, or system outages.
8. Privacy and Data Use +
  • 8.1 Data Collection: iVPN collects and uses User data as described in the Approved Fleet Privacy Policy.
  • 8.2 Data Sharing: User information may be shared with Participating Merchants and financial institutions solely for Service delivery purposes.
9. Governing Law and Dispute Resolution +
  • 9.1 Governing Law: These Terms are governed by the laws of the State of Florida without regard to its conflict of laws principles.
  • 9.2 Dispute Resolution: Disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. Users waive the right to bring class actions.
10. Amendments and Notices +
  • 10.1 Amendments: iVPN reserves the right to update these Terms with 30 days' notice to Users. Continued use of the Service constitutes acceptance of changes.
  • 10.2 Notices: Notices may be sent via email, postal mail, or through the User's online account.
